Welcome to MindOceans. The terms "we", "us" and "our" refer to MindOceans. MindOceans operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the "Services"). MindOceans is powered by Shopify, which enables us to provide the Services to you.
The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services.
Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.
By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.
SECTION 1 — NOT PROFESSIONAL ADVICE
MindOceans products — including the MindOceans Journal for Men, any written content, digital materials, or access to the MindOceans Hub — are designed for personal reflection and self-guided use only.
They are not a substitute for professional therapy, counselling, medical advice, psychological treatment, legal advice, or any other form of licensed professional service.
Nothing in our products or communications should be interpreted as personal advice directed at your individual situation. MindOceans does not know your specific circumstances, and no content we provide constitutes a professional recommendation.
If you are experiencing a mental health crisis, relationship abuse, addiction, violence, or any situation requiring urgent support, please seek qualified professional help immediately.
By purchasing or using our products, you acknowledge and accept that MindOceans provides tools for self-guided reflection only, and that outcomes — including any changes to your relationships, emotions, or behaviour — cannot be guaranteed.
SECTION 2 — NO GUARANTEE OF RESULTS
MindOceans makes no promise, guarantee, or representation that use of our products will produce any specific outcome, including but not limited to: relationship improvement, emotional change, reconciliation with a partner, or personal transformation.
Results depend entirely on the individual and the effort, honesty, and consistency they bring to the process.
SECTION 3 — AUSTRALIAN CONSUMER LAW
Nothing in these Terms of Service excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded or limited.
If you are a consumer under the Australian Consumer Law, our products come with guarantees that cannot be excluded. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.
Where the Australian Consumer Law applies, any limitation on our liability in these Terms applies only to the extent permitted by that law.
SECTION 4 — ACCESS AND ACCOUNT
By agreeing to these Terms of Service, you represent that you are at least 18 years of age or the age of majority in your jurisdiction of residence.
To use the Services, you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You represent and warrant that all information you provide is correct, current and complete and that you have all rights necessary to provide this information.
You are solely responsible for maintaining the security of your account credentials and for all of your account activity. You may not transfer, sell, assign, or license your account to any other person.
You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.
SECTION 5 — OUR PRODUCTS
We have made every effort to provide an accurate representation of our products and services. However, colours or product appearance may differ from how they appear on your screen due to your device and its settings.
We do not warrant that the appearance or quality of any products purchased by you will meet your expectations or be exactly as depicted. All product descriptions are subject to change at any time at our sole discretion. We reserve the right to discontinue any product at any time.
SECTION 6 — ORDERS
When you place an order, you are making an offer to purchase. MindOceans reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until MindOceans confirms acceptance. We must receive and process your payment before your order is accepted.
In the event that we do not accept, change, or cancel an order, we will attempt to notify you using the contact details provided at the time the order was made.
You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.
SECTION 7 — PRICES AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged for a product will be the price in effect at the time the order is placed and will be set out in your order confirmation.
You agree to provide current, complete and accurate purchase and payment information for all purchases. You represent and warrant that the credit card or payment information you provide is true, correct, and complete and that you are duly authorised to use it.
SECTION 8 — SHIPPING AND DELIVERY
We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control. Once we transfer products to the carrier, title and risk of loss passes to you.
Shipping costs and any applicable charges will be shown clearly before checkout is completed.
SECTION 9 — RETURNS AND REFUNDS
Because the MindOceans Journal is designed to be written in, we are unable to accept returns of opened or used products, except as required by the Australian Consumer Law or other applicable law.
Unopened products: If you receive a product and have not opened or used it, you may request a return within 30 days of delivery. The product must be returned in its original, undamaged condition at your own cost. A refund will be issued upon receipt and inspection.
Damaged or defective products: If your product arrives damaged or defective, contact us within 7 days of delivery with a description and photograph of the issue. We will arrange a replacement or full refund at no cost to you.
Pre-orders: If you wish to cancel a pre-order before it has shipped, contact us and we will issue a full refund.
Digital access (MindOceans Hub): Access to digital content and the MindOceans Hub is non-refundable once access has been granted, except where required by applicable law.
To request a return or refund, contact us through the support form on our website.
SECTION 10 — THE MINDOCEANS HUB
Access to the MindOceans Hub is provided to customers and Founder List members as described at the time of purchase or sign-up. Hub content is for personal use only. You may not share, distribute, or republish Hub articles or materials.
MindOceans reserves the right to update, add to, or remove Hub content at any time.
SECTION 11 — INTELLECTUAL PROPERTY
Our Services, including all trademarks, brands, text, images, graphics, video, and audio, and the design, selection, and arrangement thereof, are owned by MindOceans or its licensors and are protected by Australian and international copyright and other intellectual property laws.
These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, or transmit any material from the Services without our prior written consent.
MindOceans's names, logos, product and service names, designs, and slogans are trademarks of MindOceans. You must not use such trademarks without prior written permission.
SECTION 12 — THIRD-PARTY SERVICES AND EMAIL MARKETING
We use third-party services to operate and improve the Services. These include:
Shopify — our e-commerce platform, which processes orders, payments, and account data on our behalf.
Omnisend — our email marketing platform. If you join the MindOceans Founder List or make a purchase, your email address and basic order or sign-up information may be shared with Omnisend to send you transactional and marketing communications. You can unsubscribe at any time using the link in any email we send.
These providers process your information in accordance with their own privacy policies and our agreements with them. We do not sell your personal information to third parties.
SECTION 13 — FEEDBACK
If you submit, upload, or otherwise transmit any ideas, suggestions, feedback, or reviews (collectively, "Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose, including to operate, improve, and promote the Services.
You represent and warrant that you own or have all necessary rights to all Feedback you submit. We are under no obligation to maintain your Feedback in confidence, pay compensation for it, or respond to it.
SECTION 14 — THIRD-PARTY LINKS
The Services may contain links to websites provided or operated by third parties. We are not responsible for examining or evaluating the content or accuracy of any third-party websites. If you leave our Services to access these sites, you do so at your own risk. Complaints or questions regarding third-party products and services should be directed to the third party.
SECTION 15 — OPTIONAL TOOLS
You may be provided with access to tools offered by third parties as part of the Services, which we neither monitor nor control. We provide access to such tools "as is" and "as available" without any warranties or representations of any kind. Any use of optional third-party tools is entirely at your own risk.
SECTION 16 — RELATIONSHIP WITH SHOPIFY
MindOceans is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with MindOceans. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and MindOceans. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with MindOceans.
SECTION 17 — PRIVACY POLICY
All personal information we collect through the Services is subject to our Privacy Policy. By using the Services, you acknowledge that you have read our privacy policy.
SECTION 18 — ERRORS, INACCURACIES AND OMISSIONS
Occasionally there may be information on the Services that contains typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, or availability. We reserve the right to correct any errors, inaccuracies or omissions and to change or update information at any time without prior notice.

"Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of any person and that can be executed without direct supervision.
No Agent may access or interact with Services unless it identifies itself clearly and operates in strict accordance with these Terms. We may limit, including by technical measures, whether and how any Agent accesses the Services.
Agents must: identify that requests are from an Agent in all HTTP requests; not conceal or obfuscate that interactions are automated; not complete or circumvent CAPTCHAs or measures intended to distinguish human from computer use; and not circumvent any measures intended to block or limit Agent access.
SECTION 21 — TERMINATION
We may terminate this agreement or your access to the Services at any time without notice, and you will remain liable for all amounts due up to the date of termination.
You may terminate these Terms at any time by ceasing to use our Services and notifying us if you have an active account.
The following sections will continue to apply following any termination: Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Privacy Policy.
SECTION 22 — DISCLAIMER OF WARRANTIES
The information presented on or through the Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information.
Subject to the Australian Consumer Law and other applicable laws, the Services and all products are provided "as is" and "as available" for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, fitness for a particular purpose, durability, title, and non-infringement.
SECTION 23 — LIMITATION OF LIABILITY
Subject to the Australian Consumer Law and to the fullest extent permitted by applicable law, MindOceans and its owners, directors, employees, affiliates, agents, contractors, and service providers will not be liable for any indirect, incidental, punitive, special, or consequential damages of any kind, including lost profits, lost revenue, loss of data, replacement costs, or any similar damages, arising from your use of any of the Services or products, whether based in contract, tort, strict liability or otherwise.
Our total liability to you in any circumstance will not exceed the amount you paid for the product or service giving rise to the claim.
SECTION 24 — INDEMNIFICATION
You agree to indemnify, defend and hold harmless MindOceans, Shopify, and our affiliates, partners, officers, directors, employees, agents, and service providers from any losses, damages, liabilities or claims, including reasonable legal fees, due to or arising out of: your breach of these Terms of Service; your violation of any law or the rights of a third party; or your access to and use of the Services.
SECTION 25 — SEVERABILITY
If any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms. Such determination shall not affect the validity and enforceability of any other remaining provisions.

The failure of us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms of Service are governed by the laws of New South Wales, Australia. You and MindOceans submit to the non-exclusive jurisdiction of the courts of New South Wales, Australia for the resolution of any disputes arising under or in connection with these Terms.
If you are located outside Australia, local consumer protection laws in your jurisdiction may also apply.
